1. Each party agrees to protect all Confidential Information disclosed under this Agreement.
2. This Agreement remains in effect for five (5) two (2) years from the Effective Date.
3. Confidential Information does not include material that becomes publicly available through no fault of the receiving party.
4. Upon termination, each party shall return or destroy all Confidential Information in its possession.
Five years is long for an NDA — cap it at two.
